Terms of Service

1. Acceptance of Terms

By accessing the website of Hookitup Solutions ("Company," "we," "us," or "our") or engaging our software development services, you ("Client," "User") agree to be bound by these Terms of Service. If you do not agree, you must cease use of our services immediately.

2. Services & Scope of Work

Hookitup Solutions provides custom software development, consulting, and maintenance services. The specific deliverables, timelines, and technical requirements for any project will be outlined in a separate Statement of Work (SOW) or Service Agreement, which shall be governed by these Terms.

3. Intellectual Property (IP) Rights

  • Client Ownership: Upon receipt of final payment, the Company assigns to the Client all right, title, and interest in the custom code and deliverables created specifically for the Client.
  • Company IP: We retain ownership of all "Background IP," including pre-existing code libraries, tools, and proprietary methodologies used to develop the software.
  • Third-Party Code: Any open-source or third-party components included in the deliverables are subject to their own respective licenses.

4. Payment Terms

  • Invoicing: Clients agree to pay fees as specified in the SOW. This typically includes a non-refundable deposit followed by milestone payments.
  • Late Payments: Invoices not paid within 30 days of the due date may incur interest at a rate of 2% per month or the maximum allowed by law.
  • Suspension: We reserve the right to suspend work or withhold deliverables if accounts are in arrears.

5. Acceptance Testing

The Client has 7 business days (unless otherwise agreed) from the date of delivery to test the software for defects. If no written defects are reported within this period, the software is deemed accepted.

6. Confidentiality

Both parties agree to protect each other’s sensitive business information and trade secrets. This obligation survives for three years after the termination of the service relationship.

7. Limitation of Liability

To the maximum extent permitted by law, Hookitup Solutions' total liability for any claim arising from our services is limited to the total fees paid by the Client for the specific project in question. We are not liable for indirect, incidental, or consequential damages, including loss of data or profits.

8. Termination

  • For Cause: Either party may terminate an agreement immediately if the other party materially breaches these terms and fails to remedy the breach within 14 days of notice.
  • Payment Upon Termination: If a project is terminated, the Client is responsible for paying for all work completed up to the termination date.

9. Governing Law

These terms are governed by and construed in accordance with the laws of South Africa. Any disputes shall be settled in the courts of that jurisdiction.
